KAARAL USA LLC – GENERAL TERMS AND CONDITIONS OF SALE

These General Terms and Conditions of Sale govern the offer and sale of products through the website kaaralusa.com (hereinafter, the "Site"). Before using the Site, registering, or placing an order, users are encouraged to carefully read this document, save or print a copy, and consult the Privacy Policy and Cookie Policy published on the Site.

These Terms apply to purchases made by individual retail buyers purchasing for personal, non-commercial use ("Consumers"), as well as, where explicitly permitted via the dedicated B2B wholesale area, purchases made by salons, stylists, businesses, independent contractors, or other commercial operators ("Professionals").

Mandatory consumer protection regulations apply exclusively to transactions with Consumers. Provisions in these Terms that specifically grant rights to Consumers (such as standard consumer cancellation windows and statutory guarantees) do not apply to B2B purchases unless explicitly required by applicable law or agreed upon in writing by the Seller.

The Seller reserves the right to differentiate product catalogs, pricing, minimum order quantities, promotions, and commercial conditions between the Consumer area and the restricted B2B Professional area. In the event of specific written B2B agreements, those terms shall prevail over these General Terms to the extent of any conflict.

2. Site Registration and User Accounts

Users may register on the Site by entering their email address in the account/login section and completing the verification process via the code sent to their email. An account may also be created or completed during the checkout process by providing required contact, billing, and shipping details.

Users agree to provide complete, accurate, and current information and to update such details promptly. Utilizing third-party data without authorization, creating fictitious identities, or registering fraudulently is strictly prohibited. Users remain responsible for maintaining the confidentiality of their login credentials and for all activities under their account.

During registration or purchase, users are given the opportunity to review these Terms and the Privacy Policy. Consent to receive marketing or promotional communications is optional, separate, and revocable at any time, and is not a condition for account creation or purchasing.

Kaaral reserves the right to suspend or terminate accounts in the event of terms violations, fraudulent activity, inaccurate user information, security risks, or failure to meet qualification criteria for the B2B professional portal.

2.1 B2B Professional Account Registration

Access to products, wholesale pricing, and commercial terms reserved for Professionals requires completing an account registration on the Site followed by a submission through the "Professional / B2B Registration" module. Applicants must provide relevant business details, including business name, salon address, tax identifier (EIN / State Resale Certificate / Tax ID), contact info, and supporting documentation verifying professional status.

Submission of the B2B form constitutes a request for authorization and does not guarantee automatic access. Kaaral conducts a manual review of submitted details and may request additional verification documents. Approval is granted at Kaaral's sole discretion upon verifying legitimate professional trade credentials.

Kaaral reserves the right to refuse, suspend, or revoke B2B access for unverified credentials, invalid tax identifiers, inactive licenses, or misuse of the B2B portal. Once approved, the user's account will be enabled to view and purchase B2B-exclusive products. B2B credentials are non-transferable and tied exclusively to the verified business entity.

3. Online Purchase Procedure and Order Formation

Product displays on the Site represent an invitation to treat and do not constitute a legally binding public offer.

To place an order:

  1. Select the desired items and add them to the shopping cart.

  2. Review the order summary and cart contents.

  3. Enter or confirm shipping, billing, and contact details.

  4. Select the preferred payment method.

  5. Review essential product features, total price (including applicable taxes and shipping fees), and delivery details before submitting the order.

Submitting an order via the final checkout button (e.g., "Place Order", "Pay Now", or equivalent) constitutes a binding purchase offer from the user, implying an obligation to pay the indicated total amount.

An order is accepted and the sale contract is finalized only when Kaaral sends an Order Confirmation Email to the user’s designated email address. This email contains a summary of the order, item details, price paid, applicable fees, and order reference details.

The Seller reserves the right to decline, modify, or cancel an order prior to shipment, providing prompt notice and a full refund of any amounts paid, in cases such as:

  • Item unavailablity or out-of-stock status;

  • Obvious errors in pricing, item descriptions, or system glitches;

  • Incomplete or unverified billing/shipping information;

  • Payment authorization failure or suspected fraud;

  • Failure to meet professional B2B account qualifications.

3.1 Checkout Options

  • Express Checkout: The Site permits quick purchasing via Apple Pay, Google Pay, Klarna, PayPal, or Credit/Debit cards without prior account creation, provided necessary shipping and billing information is supplied.

  • Account Checkout: Registered users can complete purchases while logged into their account to utilize saved details, subject to verification prior to order placement.

4. Pricing, Taxes, and Product Availability

Prices on the Site are displayed in US Dollars ($), unless otherwise specified.

  • Consumer Orders: Displayed prices include applicable standard retail taxes, with sales tax calculated at checkout based on the delivery destination.

  • B2B Orders: Prices in the professional portal may be displayed net of applicable sales taxes or commercial fees, which are itemized prior to final payment authorization.

Shipping charges and optional service fees are clearly detailed prior to order submission. While inventory levels are updated regularly, availability is subject to change. In the event of an unforeseen stock shortage after an order is placed, Kaaral will notify the user and issue a prompt refund for unavailable items.

In cases of clear and obvious pricing errors (e.g., items listed significantly below fair value due to technical glitches), Kaaral reserves the right to cancel affected orders and issue a full refund.

5. Payment Methods

Accepted payment methods are presented at checkout and may vary depending on customer location, device, order total, and payment processor verification.

5.1 PayPal

When selecting PayPal, users are redirected to PayPal’s secure platform to authorize payment in accordance with PayPal’s user agreement and privacy terms. Kaaral receives confirmation of successful payment processing but does not store or process raw PayPal account credentials.

5.2 Credit Cards, Debit Cards, Apple Pay, and Google Pay

The Site accepts major payment card networks (Visa, Mastercard, American Express, Discover) and digital wallets (Apple Pay, Google Pay). Payment data is transmitted via encrypted SSL channels directly to authorized payment gateways. Kaaral does not capture or store full credit card numbers.

5.3 Klarna

When choosing Klarna, payment options (such as Pay in 3 installments, Pay in 30 days, or instant financing) are managed directly by Klarna Bank AB (publ) or its regional affiliates.

Approval for installment plans is subject to Klarna's independent credit assessment, fraud checks, and policies. Kaaral does not control Klarna approval decisions. Users must review and accept Klarna’s terms during checkout. In the event of order cancellations or returns, installment schedules are updated through Klarna according to their return procedures.

6. Shipping and Delivery

6.1 Delivery Timeframes

Unless indicated otherwise on the product page or checkout screen, standard orders are processed and delivered within 2 to 6 business days following Order Confirmation. Estimated timelines include:

  • Order Preparation & Handling: Typically 1 to 2 business days.

  • Carrier Transit Time: Typically 2 to 3 business days for most standard US domestic destinations.

Business days are Monday through Friday, excluding public holidays. Delivery estimates are non-binding and may experience delays due to carrier overload, weather conditions, severe transport disruptions, or force majeure events.

6.2 Shipping Fees

  • Consumer Orders: Free standard shipping applies to eligible orders totaling $49.00 or more, unless promotional exceptions apply. For orders under $49.00, standard flat-rate shipping costs are calculated at checkout.

  • B2B / Professional Orders: Wholesale shipping rates and thresholds are determined based on order size and location as displayed in the B2B checkout.

6.3 Transfer of Risk

For Consumer purchases, the risk of loss or damage to items transfers to the customer upon physical receipt of the package by the customer or a designated recipient. For B2B purchases, risk transfers upon carrier handover at our fulfillment facility in Runnemede, NJ, unless otherwise agreed in writing.

7. Product Quality, Warnings, and Guarantees

Kaaral supplies authentic, original beauty and hair care products adhering to rigorous quality standards. Essential characteristics and directions for use are listed on product packaging and site descriptions. Slight variations in packaging design, labeling, or display color shades may occur depending on screen settings or manufacturer updates.

Users are required to read and follow all usage instructions, ingredient lists, allergy warnings, and application guidelines provided on product packaging. Kaaral assumes no liability for damage or adverse reactions resulting from improper storage, misuse, failure to follow instructions, or unauthorized professional application.

7.1 Consumer Defective Item Protections

If a consumer receives a product that is defective, damaged during transport, or non-conforming, they must contact Customer Support at eshop.usa@kaaral.com promptly, providing order details and photographic evidence. Upon verification, Kaaral will arrange a replacement, repair, or full reimbursement in accordance with applicable consumer protection laws and warranty terms.

7.2 B2B Warranties

For Professional purchases, products are supplied subject to standard commercial warranties against manufacturing defects. Claims for damaged or missing B2B goods must be reported in writing within 48 hours of delivery along with carrier inspection documentation.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Kaaral USA LLC shall not be liable for indirect, incidental, consequential, special, or punitive damages—including loss of profits, commercial revenue, business interruption, or data loss—arising out of or in connection with the use of products purchased on the Site.

Nothing in these Terms excludes or limits Kaaral's liability for gross negligence, willful misconduct, intentional fraud, personal injury directly caused by product defects, or liabilities that cannot be lawfully excluded under applicable state or federal statutes.

9. Right of Return and Cancellation (Consumer Returns)

Consumer retail purchasers have the right to request a return and cancellation of their order without stating a reason within fourteen (14) calendar days from the date the items were delivered.

  2. Include your order number, full name, list of items to be returned, and contact details.

Return Conditions & Shipping Costs

  • Unless otherwise agreed or in cases of defective goods, direct return shipping fees are borne by the customer.

  • Items must be returned in original condition, complete with packaging, seals, accessories, and promotional items.

  • Hygiene Exclusion: In accordance with health and personal care product safety standards, returns are not accepted for opened, unsealed, used, or tampered cosmetic or hair care products.

  • B2B purchases are excluded from voluntary return policies and are final sale unless approved in writing by Kaaral management.

10. Refunds

Approved returns will be refunded within fourteen (14) days following physical receipt and quality inspection of returned goods at our NJ facility (or proof of return carrier delivery).

Refunds cover the price paid for returned items and standard initial outbound delivery charges (if applicable). Premium shipping upgrades requested on the original order are non-refundable. Refunds are credited using the original payment channel (PayPal, Credit Card, Klarna, Apple Pay, etc.). Diminished product value resulting from unauthorized use or packaging damage will be deducted from the refund total.

11. Force Majeure

Kaaral USA LLC shall not be held liable for failure or delay in fulfilling sales obligations caused by events beyond reasonable control, including natural disasters, severe storms, fires, pandemics, acts of government, transportation strikes, supply chain blockades, or widespread utility failure.

12. Privacy and Data Protection

13. Intellectual Property

All content on kaaralusa.com—including text, graphics, product photography, trademarks, logos, video assets, brand imagery, software, and layout—is the exclusive intellectual property of Kaaral USA LLC, its parent company, or licensors. Copying, distributing, modifying, or commercially exploiting site materials without prior express written authorization is strictly prohibited.

14. Governing Law and Jurisdiction

These General Terms and Conditions of Sale and any purchase agreements executed through kaaralusa.com shall be governed by and construed in accordance with the laws of the State of New Jersey, United States, without giving effect to conflict of laws principles. Any legal action or dispute arising under these Terms shall be resolved in state or federal courts located within the jurisdiction governing the Seller’s US operations.
